Conflicts of Interest in Russian Companies: Problems and Solutions

Russian companies often experience conflicts of interest between companies, their directors and their shareholders. These situations are diverse and entail serious risks for a company’s business and its shareholders. During the breakfast meeting, we will discuss the most relevant issues and consider what practical steps companies, their directors and their shareholders should take in order to minimise risk:

  • Risk areas for directors and shareholders in case of a change of control. What should they focus on and how can they protect their interest?
  • Director and shareholder ‘side businesses’ in competition with the company. How can the company be protected?
  • Deals inside holdings. What if a transaction benefits a holding as whole and not a specific legal entity? What are directors and shareholders to do?
  • A Servant of Two Masters. Can a director share information with the shareholder he/she was nominated by and follow such shareholder’s instructions? Under what circumstances would a director or a shareholder be liable?
  • What happens to deals entered into under a conflict of interest, including in case of bankruptcy.

Discussion participants will include the heads of company legal departments, experts in dispute resolution and other experts, who will share their experience relating to conflicts of interest and solutions to preclude and overcome conflicts.
